Global Investor Circle is a private, approval-based real estate investment platform operating in the United States. The Platform connects accredited and pre-accredited investors with real estate developers and project owners who are seeking private placement capital for U.S. real estate projects.

• You must be at least 18 years of age and legally capable of entering contracts to use this Platform.
• Access is granted by approval only; completing registration does not guarantee Platform access.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• Your investor designation (Accredited or Non-Accredited) determines which property listings you may view.

• All property listings are submitted by independent third-party developers and project owners and are reviewed by Platform administrators before publication.
• Listings represent private real estate investment opportunities and are not public securities offerings.
• This Platform does not display or facilitate any Regulation D Rule 506(b) offerings. We do not accept offerings that rely on pre-existing substantive relationships with investors as required under Rule 506(b). All offerings available on this Platform, if any, must comply with applicable exemptions for the investor categories permitted on this Platform.
• Past performance of any listed property, developer, or investment does not guarantee future results.

Nothing on this Platform constitutes investment advice, a recommendation, an offer, or a solicitation to buy or sell any security, real estate interest, or other investment product. You should consult with your own financial, legal, and tax advisors before making any investment decision.

Global Investor Circle is not a registered broker-dealer, investment adviser, or real estate broker under U.S. federal or state law. We provide a technology platform that facilitates introductions between investors and project owners. We do not execute transactions or manage investments on your behalf.

Certain listings on this Platform are restricted to "accredited investors" as defined under Rule 501(a) of Regulation D promulgated under the U.S. Securities Act of 1933, as amended. By indicating accredited investor status during registration, you represent and warrant that you meet the applicable legal definition and understand the risks associated with unregistered securities offerings.

You agree not to use this Platform to:

• Violate any applicable U.S. or international law or regulation.
• Submit false, misleading, or fraudulent information.
• Interfere with or circumvent the Platform's security or access controls.
• Solicit or market to other users for purposes unrelated to the Platform.
• Reverse engineer, copy, or reproduce any part of the Platform's software or content.

All content on this Platform, including but not limited to text, graphics, logos, and software, is the intellectual property of Global Investor Circle and is protected by applicable U.S. copyright, trademark, and other intellectual property laws.

The Platform and all content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We make no representations regarding the accuracy or completeness of any property listing.

To the maximum extent permitted by applicable law, Global Investor Circle and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, any investment decision made based on information available herein, or any unauthorized access to your account data.

You agree to indemnify, defend, and hold harmless Global Investor Circle from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any applicable law.

These Terms are governed by the laws of the United States and the state in which Global Investor Circle is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in that state.

We reserve the right to modify these Terms at any time. We will provide notice of material changes to registered users. Continued use of the Platform after changes constitutes your acceptance of the revised Terms.
